Description
Job Description We are looking to hire a Senior Tax Manager to partner on local and international tax issues, across all business divisions - advising on transfer pricing, tax technical analysis, Mergers & Acquisitions (M&A), tax advisory work, international tax compliance issues and managing tax risks for our businesses.
Responsibilities include transfer pricing, tax technical analysis, M&A tax due diligences for e& Group’s M&A projects, tax advisory work, international tax compliance issues (i.e. PE, CFC, CBCR, TP Documentation, etc) and managing tax risks for our businesses.
This role will also provide UAE and International tax support to other members of the Group on business initiatives on an ad-hoc basis.
Responsibilities
Key Responsibilities :
- Support the Group Tax Director on international tax issues, to advise the business divisions on potential tax exposures in relation to international projects which may include assessment of PE risk and profit attribution, application of CFC rules, diverted profits tax and transfer pricing.
- Managing of international tax disputes and ensuring that the interests and rights of the relevant e& group entities are duly defended and preserved.
- Ensuring appropriate withholding tax (WHT) rates as per relevant Double Taxation Avoidance Agreement are applied to cross borders payments between related parties, and where applicable, ensuring appropriate WHT refund requests are duly submitted to relevant tax authorities and received.
- Ensuring eligible foreign tax credits are duly and timely claimed.
- Assist with the impact assessment and the implementation of BEPS Pillar Two for e& Group.
- Assist with the impact assessment and the implementation of UAE Corporate Tax for e& group relevant entities.
- Review (or prepare as the case may be) tax due diligence report, tax structuring and modelling papers, tax indemnities, tax warranties, and tax covenant included in various contractual agreements (SPA, SHA, ACA, etc) in connection with e& group M&A projects.
- Ensure any tax risks tackled during the due diligence are reasonably categorized and quantified.
- Ensure proper coverage against such risks are duly provided in the contractual documents.
- Development and implementation of appropriate transfer pricing policies and prepare transfer pricing documentation across all the business units
- Maintain adequate technical knowledge of international tax issues; monitor relevant changes in international and domestic tax legislation for applicability to e& Group, assessing impact and being able to provide clear briefing for business units and non-tax specialists on the relevant issues.
- Support the Reporting team to prepare relevant CFC disclosures whenever required and ensure that the impacts of transactions are accurately reflected in the consolidated group accounts and tax returns.
- Ensuring tax financial reporting information submitted by overseas businesses is reviewed and that the consolidated group accounts include accurate disclosures of the overseas tax related numbers.
- Produce technical analysis and documentation on key tax issues for projects and transactions to include diverted profits tax, PE risk, transfer pricing, tax technical and tax accounting analysis where appropriate. This also includes preparing guidelines for the business divisions to manage tax risks associated with cross border arrangements.
- Liaising with key finance and business contacts in the UAE and overseas to build networks to ensure smooth management and communication of tax issues.
- Liaising with Building networks with external stakeholders including advisors, relevant tax authorities and industry bodies.
- Support the Group Tax Director on any domestic or international tax matters when and as required.
Qualifications
Qualifications & Experience :
Holder of CPA, CA, or equivalent qualification.
- A minimum of 10 years of relevant tax experience with a Big 4 organization or large corporate tax department of a multinational company.
- Knowledge of International regulations, OECD guidance, in particular transfer pricing guidelines and BEPS Pillar Two.
- Proven leadership skills demonstrating strong judgment, problem-solving, and decision-making
- Demonstrated effective verbal and written communication skills including presentation skills.
